Retail Leasing

Rich has represented Landlords and Tenants in a wide range of retail leasing transactions, including representing Landlord’s in negotiations with major retail operators, and representing Tenants against major real estate investment companies

Representative Transactions:

  • Rich represented a large European family attraction company on lease transaction with some of the largest real estate investment companies in the U.S.: e.g, Mills-Simon, Taubman Properties, Pennsylvania Real Estate Investment Trust (Plymouth Meeting Mall, PA), Limited Brands (Easton Town Center, Columbus, OH), Triple Five (American Dream, East Rutherford, NJ)

  • Representation of rapidly expanding retail stores (simultaneously handling new lease transactions throughout California and the United States)

  • Development of regional mall, with lease/sale transactions involving Safeway, Longs Drugs and various other major retailers

  • Representing Landlords in a complex lease transactions

Purchase/Sale Transactions

Rich has represented purchasers and sellers of shopping centers, hotels, long-term care facilities, and undeveloped land, including land for multi-family development. His work has included negotiating and finalizing purchase agreements, assisting with due diligence (including title analysis), financing, and closing transactions, and involvement with post-closing development.

Representative Transactions:

  • Acquisition of iconic Fred Segal building, West Hollywood

  • Rich represented Landlords in the completion of several transactions with Starbucks Coffee.

  • Representing Seller of property to Costco for development of new Costco location.

  • Representing Purchasers/Sellers of small and medium shopping centers throughout California and Arizona

  • 100,000 square foot specialty media building

  • Medical facilities and long-term care facilities

  • Hotel/motel

  • Bankruptcy court sales

  • Sale/leaseback transactions

  • Sale of ranch

  • Purchase of undeveloped property for multi-family developments.

Financing

Rich has represented owners in connection with the closing of loan transactions (including permanent loans, construction loans and bridge loans)

Representative Transactions:

  • Rich recently represented a property owner in connection with various financing transactions involving banks, insurance companies and conduit lenders, e.g., Rialto Mortgage Finance, American Equity, City National Bank, John Hancock Life Insurance, Swiss Re Life and Health, Sun Life Assurance Company of Canada, CIBC

  • Financing involving shopping centers, industrial property and other commercial property

  • High-end Beverly Hills office building

  • Loan sales

  • Representing lender/developers in loan modifications

  • Ground lease financing

  • Representing borrowers in transactions with banks, life insurance companies and conduit lenders, involving complex loan arrangements

Construction

Rich has extensive experience drafting and negotiating construction documents, including GMax contracts, design-build contracts and architect’s agreements, and resolving construction disputes.

Representative Transactions:

  • Representation of large university on-campus expansion, including many construction arrangements (Fixed Fee, GMax, Design-Build, Architects and other consultants)

  • Representing religious organization concerning school expansion

  • Design-Build for parking facilities

  • Large residential construction projects—contracts, subcontracts and architect’s agreements

  • Representing parties in construction disputes, including in mediations.

Residential Purchase/Sale

Rich represents purchasers and sellers of high-end residential real estate, including transactions involving projects in the middle of construction.

Representative Transactions:

  • Representing Sellers (transactions up to $80M)

  • Representing Sellers of large spec homes on westside of Los Angeles, including involving sales in the middle of construction.

  • Resolution of disputes involving residential property
